The American Concrete Institute (ACI) is the leading authority and resource worldwide for the development and distribution of consensus-based standards, technical resources, and educational programs related to the concrete industry.
The General Counsel will serve as the chief legal advisor to the organization, providing guidance on a wide range of legal, regulatory, and governance matters. The role will oversee all legal functions and provide strategic legal counsel for ACI and its subsidiaries. The role ensures legal compliance, mitigates risk, and upholds ethical business practices, while supporting and advancing ACI’s goals.
Essential Job Functions Include:
- Provide legal counsel to executive leadership and staff on a broad range of issues including nonprofit governance, contracts/legal documents, intellectual property, copyrights and trademark protection, and risk management.
- Support ACI’s Board of Direction with advice and guidance on governance best practices, bylaws, and conflict-of-interest policies.
- Draft, review, and negotiate a variety of agreements including contracts, MOUs, licensing, publishing, and other legal documents.
- Provide appropriate legal support for scientific publications, conferences, and educational programs, including copyright and licensing issues.
- Ensure compliance with federal, state, and local laws, including IRS regulations governing 501(c)(3) organizations.
- Manage legal representation, including developing legal strategies for claims, disputes, investigations, and regulatory actions. Oversee complex litigation, arbitration, and contractual disputes involving ACI or its subsidiaries.
- Manage relationships with outside counsel, as directed.
- Assist in monitoring and interpreting legislative and regulatory developments that may impact the organization, as needed.
- Provide guidance on internal investigations and compliance audits, as necessary.
- Provide training and education to staff on legal and ethical issues, including data privacy and research integrity.
- Other duties, as assigned.
Requirements
Job Requirements:
- Juris Doctor (JD) from an accredited law school.
- Minimum of 7-10 years of legal experience, with at least 3 years in a nonprofit, government, or mission-driven organization preferred.
- Strong knowledge of nonprofit law, intellectual property, and contract law.
- Familiarity with issues related to scientific publishing, research ethics, and data privacy and protection.
- Active license to practice law in Michigan, or ability to obtain licensure.
- An individual in this position is required to attend conventions, trade shows, off-site meetings, industry conferences, training events, or other business-related events which could involve multi-day or multi-week overnight travel.
This position requires the individual to work from ACI headquarters in Farmington Hills, MI.
